Association
Constitution
ARTICLE I
NAME
This
organization shall be known as the Peach State Basketball Officials Association
organized under the jurisdiction of the Georgia High School Association.
ARTICLE II
PURPOSE
The
purpose of this organization shall to be to promote the game of basketball by:
Promoting
the welfare of the game, its players and officials;
Developing
and maintaining a membership of experienced and capable basketball officials
whose integrity is above reproach and who are engaged each year in officiating;
Fostering
a high standard of ethics, encouraging fair play, sportsmanship, closer
cooperation and better understanding among officials, athletic directors,
coaches, players, press, and spectators; and
Maintaining
an equitable relationship between the members of this organization and all
contracted schools and supplying officials to those schools who will be
recognized as being highly qualified.
ARTICLE III
BOARD OF DIRECTORS, OFFICERS AND ELECTIONS
Section 1. The
Board of Directors of the Association shall be the President, Vice President,
Secretary, Treasurer, Assigning Secretary and at least two (2) and no more than
five (5) Directors-at-Large. The number
of Directors-at-Large serving on the Board of Directors shall be established
from time-to-time by the membership of the Association as provided in Section
5. of this Article.
Section 2. The Officers of the Association shall
be the President, the Vice President, the Secretary, the Treasurer and the
Assigning Secretary.
Section 3. Each
Officer and each member of the Board of Directors, except for the Assigning Secretary, shall be elected by a secret
ballot by a majority of the members present at the second semiannual
meeting. The newly constituted Board of
Directors shall approve the Assigning Secretary following their election.
Each
Officer shall hold office for a term of one (1) year, or until a successor is
elected or appointed.
Section 4. The
President shall not serve for more than two (2) consecutive terms. All other members of the Board of Directors
may serve an unlimited number of consecutive terms.
Section
5.
There shall be at least two (2) and no more than five (5) Directors-at-Large
serving on the Board of Directors. The
term of office for each Director-at-Large shall be two years. At least half of the Directors-at-Large
shall be elected each year during the second semi-annual meeting. The actual number of Directors-at-Large
serving on the Board of Directors shall be determined by a vote of the
membership which complies with the requirements of Article VI, Section 1. Provided, however, that, in the event that
the membership of the Association decides to reduce the number of Directors-at-Large
serving on the Board of Directors, the reduction shall not take effect until
the term of the Director-at-Large to be eliminated expires.
Section 6. The
President, subject to the approval of the Board of Directors, shall appoint to
office any eligible member to fill a vacancy among the Board of Directors or
Officers until such time as a successor is elected.
Section 7. The
terms of office shall be from May 1st of the year of election through April
30th of the following year.
Section 8. No
member shall serve in more than one(1) elective office at the same time.
Section
9.
To
serve as an Officer of the Association, a member must be in good standing and
must have completed four years of service.
To serve as a Director-at-Large, a member must be in good standing and
must have completed two years of service.
A member is in good standing if that member has paid all dues and fines
in timely manner, is not serving a suspension and has not been expelled from
the Association in the past two years.
The provisions of this section shall only apply to members who join the
Association after April 1, 2001.
Section
10. Beginning with the 2001 - 2002 basketball season, a member
shall have completed one full season with the Association and be in good
standing to be eligible to vote at the first meeting of the next season as
provided in this Constitution.
ARTICLE IV
DUTIES OF THE BOARD OF DIRECTORS
Section 1.
The
Board of Directors shall investigate all complaints against any member brought
by or through the Secretary of the Association and initiate an investigation of
any other matter that pertains to the best interests of the Association. The Board of Directors shall take any action
it deems advisable, including suspending or expelling a member from this
Association. The Board of Directors may
also recommend suspension or expulsion from the Georgia High School Association
to that organization.
Section 2. The
Board of Directors shall handle all grievances of members of the
Association. Any such grievance must be
submitted in writing.
Section 3. The Board of Directors shall discharge
all other duties set forth in the Constitution and the By-Laws of the
Association.
Section 4. The
Board of Directors may adopt such policies as it deems necessary in addition to
those stipulated in the By-Laws.
Section 5. The
Board of Directors shall will actively assist the Training Coordinator in
determining the capability of the members of the Association to officiate
basketball games. Particular emphasis
will be given to training new members.
Section 6. The
Board of Directors shall approve an order of business for each annual meeting.
Section 7. To
act, the Board of Directors must have a quorum, which is defined as fifty
percent (50%) of its membership, present.
Section 7. An
action of the Board of Directors may be vetoed by a two-thirds (2/3) vote of a
quorum of the membership of the Association at any meeting. A quorum shall be sixty percent (60%) of the
membership of the Association, including regular and senior members.
ARTICLE V
DUTIES OF THE OFFICERS
Section 1. -
Duties
of the President
A. The President shall
preside at all meetings of the Board of Directors. The President shall appoint all committees and shall supervise
their activities. The President shall serve
as an ex-officio member of all committees.
The President shall have no vote at any meeting of the Association,
Board of Directors or committee, except where the votes are equally
divided. The President may vote on
amendments to the Constitution and By-Laws where the entire membership shall
have the power to vote.
B. The President shall
conduct or approve all negotiations on behalf of the Association and make every
effort to further the policies adopted by the Board of Directors.
C. The President shall work
closely with the Assigning Secretary and shall assist the Assigning Secretary
as necessary and appropriate, particularly in screening members who are not
making progress in officiating. The
President shall present the name of any such member to the Board of Directors
for such action as it may deem necessary.
D. The President shall transmit all
records of Association business to the Secretary upon conclusion of the year’s
business to be included in the permanent records of the Association.
Section 2. - Duties of the Vice President
A. The Vice President shall
assume the duties and responsibilities of the President if the President is
absent, disqualified or unable to act.
B. The Vice President shall
assist the President in performing the President’s duties upon the President’s
request.
C. The Vice President shall
be the Training coordinator. The Vice
President shall be responsible for organizing all training activities,
including the apprenticeship program and Association-sponsored clinics, and maintaining
an evaluation program.
D. The Vice President shall
transmit all records of Association business to the Secretary upon conclusion
of the year’s business to be included in the permanent records of the
Association.
Section 3. - Duties of the Secretary
A. The Secretary shall send
out all notices, maintain and preserve all records of the Association and have
charge of all printing and publications ordered by the Association. The Secretary shall notify members of all
meetings of the Association.
B. The Secretary shall
record all business transacted, keep a record of the minutes of all meetings,
including meetings of the Board of Directors, and be prepared to read the
minutes at the following meeting for corrections and additions.
C. The Secretary shall call
the roll at each Association meeting and maintain attendance records.
D. The Secretary shall
receive all applications for membership and shall submit these to the Board of
Directors. The Secretary shall notify
each applicant of acceptance or rejection into the Association and, if
accepted, shall furnish the applicant with all necessary publications of the
Association, including the Constitution and By-Laws. If an application is rejected, the Secretary shall notify the
applicant, in writing, informing the applicant of the reasons for rejecting the
application.
E. The Secretary shall
maintain a service record for each member, including qualifications,
officiating records and any other
pertinent information as may be designated by the Board of Directors. The Secretary shall maintain and publish an
annual list of officials.
F. The Secretary shall
receive all complaints against members and shall report the complaints to the
Board of Directors.
G. The Secretary shall
notify the President and the Assigning Secretary if a member is not in good
standing with this or any other association.
H. The Secretary shall
maintain all necessary liaison with the Georgia High School Association,
furnishing that organization with records, applications, renewals, and such
other information as it may require.
The Secretary will distribute all Georgia High School Association
publications, initial insignia, registration cards and correspondence, as
required.
I. The Secretary shall work
in close harmony with the Treasurer and the Assigning Secretary in performance
of their duties.
J. The Secretary shall be
paid an amount of not less than two hundred dollars ($200.00) per year from the
Association treasury for services rendered.
Section 4. - Duties of the Treasurer
A. The Treasurer shall maintain
and preserve all official records of the office of the Treasurer.
B. The Treasurer shall
collect and be held responsible for all monies due and paid to the Association
and shall keep a complete and accurate account of all transactions. The Treasurer shall deposit all monies due
in the name of and to the credit of Peach State Basketball Officials
Association in such depository as the Board of Directors may designate.
C. The Treasurer shall
maintain a complete and accurate record of all receipts and disbursements and
shall make the record available for reporting to the membership at each
meeting. The Treasurer shall be
responsible for publishing an annual financial statement of all monies
received, disbursed, and cash on hand.
This statement will be checked and approved by the Board of Directors
and signed by the President and the Treasurer before being published.
D. The Treasurer shall
furnish to each member at the end of the season an itemized statement of the
dates of games worked and the fees for such games.
E. The Treasurer shall make the
Treasurer’s records available to the Board of Directors for an audit at its
request. The Treasurer shall report to
the Board of Directors, the Secretary and the Assigning Secretary the names of
those members who are not in good financial standing with the Association.
F. The Treasurer shall work
in close harmony with the Secretary and the Assigning Secretary in the
performance of their respective duties.
G. The Treasurer shall not
be authorized to sign checks on behalf of the Association without the approval
of the President.
H. The Treasurer shall be
paid an amount of not less than one hundred fifty dollars ($150.00) per year
from the Association treasury for services rendered.
Section 5. - Duties of the Assigning
Secretary
A. The Assigning Secretary
together with the Board of Directors shall assign officials to all games
contracted by the Association during the regular season. This includes all varsity and non-varsity
games, tournaments, and other game-type assignments. The Assigning Secretary and the Board of Directors shall consider
the rating of each official when making an assignment.
B. The Assigning Secretary
shall at all times keep an accurate record of games assigned during the regular
season for each official. These records
shall be available for and subject to an inspection by the membership at least
twice monthly during the regular season.
C. The Assigning Secretary
shall prepare a summary of the total number of games worked by each member,
showing separately the number of varsity boys, varsity girls, and other types
of games worked during the regular season.
This summary shall be prepared at the end of the season, shall be
transmitted to the Secretary prior to the second semiannual meeting and shall
become part of the permanent records of the Association.
D. The Assigning Secretary
shall remove from the roster of active officials any member reported by the
Secretary or the Treasurer as having been suspended or expelled or who is not
in good standing for any reason. The
Assigning Secretary shall cancel all assignments of any such member.
E. The Assigning Secretary
shall work in close harmony with the Training Coordinator, Secretary and
Treasurer in the performance of their respective duties.
F. The Assigning Secretary shall be
paid an amount equal to eight percent (8%) of the actual fee received from all
contracted games, exclusive of any travel allowance.
G. The Board of Directors,
including the President as a voting member, shall approve all tournament
selections recommended by the Assigning Secretary.
ARTICLE VI
MEMBERSHIP
The
active membership of the Association shall be divided into two (2) classes,
Regular Members and Senior Members.
Section 1. Regular Members
A. A Regular Member is any
person who has paid all fees due and owing to this Association and to the
Georgia High School Association and who is registered with that organization to
officiate basketball contests in the State of Georgia.
B. Each Regular Member in
good standing shall be allowed to vote as provided in the Constitution. Each Regular Member is entitled to one vote.
C. The total number of
Regular Members will be unlimited unless the Board of Directors specifically
determines otherwise.
D. The membership rolls
shall close each year on the date specified by the Georgia High School
Association as the deadline for registration without penalty. Exceptions will be made in the case of
officials with at least two (2) years experience, who are transferring from
another association outside of the metropolitan Atlanta area and who were
unable to become affiliated with the Association until after the closing date.
Section 2. Senior Members
A. Members of the
Association who have been Regular Members for at least five years, who do not
want to participate as a part of the staff of basketball officials who
officiate basketball contests on a regular basis, but who wish to continue to
participate in the organization, may apply to become Senior Members. Senior Members are not expected to officiate
basketball contests, but may elect to do so, if the Assigning Secretary, in
his or her sole discretion, determines
that the Senior Member is needed to help the Association supply officials to a
school with which the Association has contract to supply officials or to the
Georgia High School Association to serve as scorers or timers for tournaments.
B. Senior Member status
must be approved by the Board of Directors and be approved by a three-fifths
(3/5) affirmative vote of the regular membership. Senior Members may not be affiliated with any other basketball
officials association recognized by the Georgia High School Association.
C. At no time may the
number of Senior Members exceed twenty percent (20%) of the regular membership. Senior Members may be elected to the Board
of Directors, including the offices of President, Vice President, Secretary,
Treasurer and Assigning Secretary.
Provided, however, any other provision of the Constitution to the
contrary not withstanding, no more than two members of the Board of Directors
may be Senior Members.
D. Senior Members must pay
annual dues to the Georgia High School Association through the
Association. Senior Members may also
elect to pay the dues established by the Association. If a Senior Member pays the full amount of the Association’s
annual dues, then no assigning fee shall be assessed against any contest fee
earned by the Senior Member. If the
Senior Member elects not to pay the Association’s annual dues, then an amount
equal to the assigning fee shall be assessed against the Senior Member’s
contest fees until an amount equal to the Association’s annual dues is
collected. This amount shall be split
equally between the Assigning Secretary and the Association treasury to defray operating
expenses.
E. An Honorary Life Member
may apply to become a Senior Member, if the Honorary Life Member so elects.
Section 3. Honorary Life Members
The membership of the Association may
elect Honorary Life Members when individuals are qualified for such an
honor. Any nominee shall have been an
active member of the Association for at least five (5) years and certified by
the Georgia High School Association. He
or she shall have been retired from active officiating for at least one year
and shall have made an outstanding contribution to the game of basketball and
this Association. Nominations for
Honorary Life Members shall be submitted to the President not later than seven
(7) days prior to the first semiannual meeting. As soon as possible following a vote of approval by the
membership, the President shall notify the individual of his or her
selection. The notification shall be
by telephone and in writing. All Honorary Life Members shall have their
names included in the membership roll of the Association. Honorary Life Members shall be invited to
participate in all meetings and clinics conducted by the Association and may
attend the annual banquet. First-year
Honorary Life Members shall receive a plaque signifying his or her status and free
participation at the annual banquet. An
Honorary Life Member may not vote or hold office in the Association.
Section 4. Officiating High School Basketball Contests
A. Members of the
Association must officiate only with fellow members during the regularly
scheduled season. Exceptions will be
made only in the case of emergency or injury, provided that the Assigning
Secretary is notified as soon as possible.
In district, region, invitational and state tournaments, a member may
officiate contests with a non member without additional notification.
B. At no time shall a
member contract to officiate any high school game, other than a tournament
game, without obtaining permission from the Board of Directors to do so.
C. If a member is contacted
to work a tournament game by someone who is not member of the Association, and
the game is accepted by the member, the member must immediately notify the
Assigning Secretary.
ARTICLE VI
AMENDMENTS
Section 1. The
Constitution and By-laws may be amended at any regular or special business
meeting of the Association by an affirmative vote of two-thirds (2/3) of the
membership present, provided each member is sent a written notice of the
proposed amendment at least seven (7) days prior to the meeting at which the amendments
are to be voted upon, and provided that a quorum is present. A quorum shall be sixty percent (60%) of the
total membership of Regular and Senior Members.
Section 2. This
Association shall have the authority to establish and amend its Constitution,
By-laws and policies, provided that such amendments do not conflict with the
Constitution, By-laws, regulations and policies of the Georgia High School
Association. In all cases of conflict,
the applicable provision of the Georgia High School Association shall apply.

Following the adoption of amendments to the Constitution in April 2001, the
definition of a quorum of the Board of Directors was moved to Article IV and
the Sections of Article IV were renumbered.
(2) The Board of Directors changed the name of the Booking Secretary to the Assigning Secretary in June 2001. No other change occurred.
